Welcome to MediSummary! We're excited to have you here. Please read these Terms of Service & Disclaimer ("Terms") carefully before using https://medisummary.com, the MediSummary mobile application (iOS and Android), and any related services (collectively, the "Service"). This document is a legal agreement between you and ODAKCO, LLC ("MediSummary," "we," "us," or "our"). By accessing or using our Service, you agree to be legally bound by these Terms. If you do not agree to any part of these Terms, please discontinue use of the Service immediately.

1. Who We Are

MediSummary is a U.S.-based organization that uses advanced AI to help physicians and healthcare professionals gain efficient insights into medical research and clinical documentation. Our platform is a product of ODAKCO, LLC.

2. Agreement Overview

By using or accessing our Service, you agree to abide by these Terms, as well as any other policies referenced herein (including our Privacy Policy and Subscription Terms). These Terms form the entire agreement between you and MediSummary regarding your use of the Service. Any translated versions of these Terms are provided solely for your convenience; in case of conflict, the English version shall prevail.

3. Eligibility

  1. Healthcare Professionals: MediSummary is intended for use by qualified healthcare professionals, medical students, and researchers. While we do not technically restrict account creation, the Service is designed for users with relevant professional or academic backgrounds in medicine or healthcare.
  2. Age Requirement: You must be at least 18 years old to create an account and use MediSummary.
  3. Capacity: By creating an account or using our Service, you affirm you have the legal capacity to enter into a binding agreement.
  4. Compliance: You agree to comply with all applicable laws, rules, and regulations when using the Service.

If you do not meet these requirements or do not agree with any part of these Terms, please do not use our Service.

4. What We Offer

MediSummary provides an AI-powered research and clinical productivity suite, including the following tools:

These features offer concise overviews and tools to help medical professionals enhance efficiency and productivity. However, MediSummary does not provide medical, financial, or legal advice; all content is strictly for informational and educational purposes.

Not all features listed above are available on every platform. Feature availability may vary between our website and mobile application.

Mobile Application (iOS and Android)

The MediSummary mobile app is a companion application for existing MediSummary subscribers. When you use the mobile app:

  1. Sign-in only: The mobile app does not support new account registration. You must create an account and subscribe on our website before signing in to the mobile app.
  2. Authentication: Mobile sign-in uses your email address and a one-time passcode (OTP). The mobile app does not use passwords.
  3. No in-app purchases: Subscriptions are purchased and managed on our website only. The mobile app does not sell subscriptions, does not offer in-app purchases, and does not process payments.
  4. Current mobile features: The mobile app currently includes paper PDF upload and summarization, voice note recording and transcription (AI Note Taker), and AI research chat. Other website features (such as presentation slides, study mode, team workspaces, or specialty accelerators) may not be available in the mobile app.
  5. Device permissions: Voice notes require microphone access. Recording may continue when the app is backgrounded if you enable background audio mode on your device.
  6. Account deletion: You may delete your account from Settings → Delete Account in the mobile app. This permanently removes your personal papers, notes, chat history, and related content from our servers, subject to the retention exceptions described in our Privacy Policy.
  7. Subscription status: Access to premium mobile features requires an active subscription associated with your account. If your subscription lapses, you may see a subscription-required message in the app with no in-app purchase option.

5. Creating an Account

  1. Account Registration (website): Certain features of MediSummary require an account. On our website, you must provide accurate and complete information during registration and keep your login credentials confidential.
  2. Mobile Sign-In: The mobile app is sign-in only. You sign in with your email address and a one-time passcode (OTP). You are responsible for keeping access to your email account secure.
  3. Trial Period: If offered, you may use MediSummary free of charge for a 7-day trial period on our website. At the end of this trial, unless canceled, your account will automatically convert to a paid subscription, and you will be charged accordingly.
  4. Account Security: You are responsible for all activities that occur under your account. If you suspect unauthorized use, immediately contact us at [email protected].

6. Subscription Plans and Billing

  1. Website Billing: Subscriptions are purchased, renewed, and managed on our website. The mobile app does not offer in-app purchases and does not process subscription payments.
  2. Free Trial: After the free trial (if offered), you must subscribe to continue accessing premium features. You can cancel at any time before the trial ends to avoid being charged.
  3. Automatic Renewal: All subscription plans renew automatically at the end of the billing period unless you cancel at least 24 hours beforehand. Subscription fees will be billed to the payment method you provide during sign-up on our website.
  4. Refunds: You can request a full refund within 60 days of your initial payment by emailing [email protected]. After this period, no refunds will be issued except where required by applicable law.
  5. Cancellation and Access After Cancellation:
    • If you cancel your subscription, you retain access to your account and any stored documents until the end of your current billing cycle.
    • After the billing cycle ends, access to the Service and stored documents will be terminated unless you reactivate your subscription.
  6. Payment Processing: We use Stripe for payment processing on our website. By subscribing, you agree to provide accurate payment details and bear any charges resulting from incorrect information. We do not store your complete card details.
  7. Fee Changes: We reserve the right to change subscription fees upon 30 days' notice. Continued use of the Service after fee changes take effect constitutes your acceptance of the new fees.

7. Usage Limits

To ensure fair use and optimal performance, MediSummary may impose limits on the number of summaries, audio files, AI queries, or other outputs generated within a given period. If your usage exceeds reasonable limits or disrupts the Service for others, we reserve the right to suspend or terminate your account.

8. AI-Generated Content Disclaimer

  1. Nature of AI Content: MediSummary uses large language models and other AI systems to process user-submitted documents, voice recordings, and questions. While we strive for accuracy, AI-generated content may contain inaccuracies, omissions, outdated references, or hallucinated citations.
  2. References to Papers: Any references to specific papers or studies provided by the AI are for informational purposes only. MediSummary does not guarantee that cited references are comprehensive, current, or free from error. Users are encouraged to verify cited sources independently before relying on them.
  3. Third-Party AI Processing: To provide AI features, MediSummary transmits certain content — including uploaded PDFs, voice recordings, and user queries — to third-party AI infrastructure providers (such as OpenAI, Anthropic, Google, and Deepgram for speech-to-text transcription). These providers process your data under their own terms and privacy policies. MediSummary does not control these providers' data handling practices.
  4. Ownership of Uploads: You maintain ownership of any PDFs, audio recordings, or other materials you upload or provide. By uploading, you confirm you have the necessary rights or permissions to use and share that content.
  5. Use of User Data for Improvement: We may use anonymized or aggregated data derived from user uploads and queries to improve our AI systems and features. We do not use personally identifiable patient information to train our models. For more details, refer to our Privacy Policy.

9. AI Note Taker — Special Terms

The AI Note Taker (available on our website and in the mobile app) is designed to support clinical documentation workflows, including SOAP notes, patient encounter summaries, and other structured clinical records. It is intended to assist qualified healthcare professionals in capturing and organizing information from clinical interactions. By using the AI Note Taker:

  1. Clinician Responsibility for Consent: As the treating clinician, you are the legally responsible party in your patient relationship. You are solely responsible for obtaining any patient consent required by law before recording any clinical interaction, in accordance with the laws and professional regulations applicable in your jurisdiction (including, but not limited to, HIPAA in the United States, GDPR in the EEA, or equivalent laws elsewhere). MediSummary does not obtain or manage patient consent on your behalf.

  2. Regulatory Compliance: MediSummary provides the AI Note Taker as a documentation assistance tool. Compliance with applicable healthcare regulations — including data protection, consent, and professional documentation requirements — is your responsibility as the clinician. If you are a HIPAA covered entity or business associate in the United States and wish to use the AI Note Taker for encounters involving Protected Health Information (PHI), please contact us at [email protected] to discuss a Business Associate Agreement (BAA).

  3. Audio Processing: Voice recordings made through the AI Note Taker (including in the mobile app) are transmitted to third-party AI transcription providers (such as Deepgram) to generate text transcriptions. Raw audio recordings are not permanently stored on MediSummary servers after transcription is complete. Transcribed text and structured notes are stored in your account until you delete them or close your account.

  4. Clinical Accuracy: AI-generated transcriptions and structured notes may contain errors, omissions, or misinterpretations. You must review, verify, and where necessary correct all AI-generated clinical notes before incorporating them into any patient record, clinical decision, or official documentation. MediSummary is not liable for errors in AI-generated clinical notes.

10. Medical Advice Disclaimer

  1. No Physician-Patient Relationship: MediSummary's content (including AI chat answers, summaries, notes, and all other outputs) is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.
  2. Consult Professionals: Always consult qualified healthcare professionals for medical advice. Never disregard professional medical advice or delay seeking it because of content you read, hear, or generate on MediSummary.
  3. User Responsibility: By using the Service, you agree that MediSummary is not liable for medical decisions made based on our content. Clinical decisions remain the sole responsibility of the treating clinician.
  4. No Regulatory Approval: MediSummary has not been reviewed or approved by the FDA, CE, or any other medical device regulatory body. It is not a medical device.

  2. No Liability: We are not responsible for any decisions you make based on the information provided by the Service.

  1. "As Is" and "As Available": We strive to ensure accuracy but cannot guarantee that all summaries, presentations, notes, or references will be complete, correct, or up-to-date.
  2. Right to Modify: We reserve the right to modify or remove content at any time without notice.

  1. MediSummary Content: All content produced by MediSummary — audio summaries, written summaries, presentations, and AI-generated outputs — is protected by copyright, trademark, and other intellectual property laws.
  2. User License: You receive a non-exclusive, non-transferable license to view, download, and use our content solely for personal or professional non-commercial purposes.
  3. Prohibited Use: You may not reproduce, distribute, or create derivative works from our content without explicit written permission from MediSummary.

15. User-Submitted Content

  1. Ownership and Responsibility: You represent and warrant that you own or have the rights to the PDFs, audio recordings, and other materials you upload. MediSummary is not liable for the legality or accuracy of your uploaded content.
  2. Removal of Content: We reserve the right, at our discretion, to remove any content that violates these Terms or is otherwise unlawful.

  1. Termination by MediSummary: We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or pose a risk to the Service or other users.
  2. Termination by User: You may discontinue use of the Service or cancel your subscription at any time on our website. Mobile app users may also delete their account from Settings → Delete Account in the app. However, subscription fees already paid are not refundable except as described in Section 6.

19. Disclaimers and Limitation of Liability

  1. No Warranty: The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
  2. Liability Cap: In no event shall MediSummary, its affiliates, or their officers, directors, employees, or agents be liable for any indirect, incidental, or consequential damages arising from your use of the Service. MediSummary's maximum liability shall not exceed the total amount you paid us in the 12 months preceding the relevant claim.
  3. Your Risk: You use our Service at your own discretion and risk. MediSummary is not responsible for harm or losses arising from your reliance on our content (including AI-generated references, transcriptions, or notes).

You agree to indemnify and hold harmless MediSummary, its affiliates, and their respective officers, directors, employees, and agents from any claim or demand (including attorneys' fees) arising out of or related to:

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. All disputes arising from these Terms shall be resolved exclusively in the courts located in Dover, Delaware.

We may modify these Terms occasionally. If we make significant changes, we will post the updated Terms on our Website and/or notify you via email. Your continued use of the Service after any modifications indicates your acceptance of the revised Terms.

These Terms represent the entire understanding between you and MediSummary regarding your use of the Service and supersede any prior agreements.
